GOVERNANCE ADMINISTRATION & ADVISORY SUPPORT
Governance documentation that holds up under scrutiny.
Practical governance administration that improves the structure, documentation, and compliance underpinning every decision your board makes.
OVERVIEW
The documentation behind every board decision matters.
Charters drift out of date. Registers fall behind. Policies get reviewed reactively, after a question has already been asked. Most boards know this — but finding the time to address it without disrupting the day-to-day is harder than it looks.
One Echo Alpha provides governance administration and advisory support for boards, councils, and incorporated societies that need their underlying structure to match the standard of work happening in the room.
We work alongside the Chair, secretary, and senior leadership to bring documentation, compliance, and governance frameworks up to a standard the organisation can confidently stand behind — under audit, under regulator review, or simply under its own scrutiny.
WHAT WE DELIVER
Six areas of governance work, brought up to standard.
Specific, finishable pieces of work, not open-ended advisory. Each one closes a gap that auditors, regulators, or new directors typically ask about first.
— 01
Charter & constitution review
Review and update of board charters, sub-committee terms of reference, and incorporated society constitutions to match how the organisation actually operates today.
— 02
Policy framework & review cycle
An organised policy framework with documented owners, review dates, and a rolling review cycle — so policies don't quietly drift out of date.
— 03
Statutory & interest registers
Conflict of interest, gifts, and statutory registers maintained to a current, defensible standard — and reviewed at the right intervals.
— 04
Incorporated society compliance
Practical support for societies working through the Incorporated Societies Act 2022 — re-registration, constitutions, AGM requirements, and ongoing reporting.
— 05
Director induction & handover
Structured induction packs and handover documentation so new directors arrive briefed, oriented, and able to contribute from their first meeting.
— 06
Governance framework advisory
Practical input on board structure, sub-committee design, delegations, and reporting lines — without the cost or formality of a full governance review.
OUR REVIEW APPROACH
How a governance review actually runs.
A defined four-stage process so you know exactly what's happening, what's coming next, and where the work lands.
Four stages, one engagement
Most governance reviews run over six to ten weeks, depending on the size of the organisation and the depth of documentation already in place.
— Stage 1
Document audit
A full review of charters, policies, registers, and constitutional documents to establish what's current, what's missing, and what conflicts.
— Stage 2
Findings & prioritisation
A written summary of gaps and recommendations, ranked by risk and effort, discussed with the Chair before any work proceeds.
— Stage 3
Drafting & review
Updated documents drafted, reviewed against current legislation, and circulated for board approval through the normal cadence.
— Stage 4
Embedding & handover
A documented review cycle, owners, and a clear path forward — so the work stays current after we step back.
FREQUENTLY ASKED
Common questions about governance support.
Do we need a full review, or can you work piece by piece?
Either approach is valid. A full review is more efficient if multiple documents are out of date or inconsistent with each other, but for organisations with one specific gap, for example a charter that needs rewriting, a targeted single-document engagement is often the right call.
Are you a legal advisor?
No. We provide governance administration and advisory support — practical drafting, structure, and process work. For specific legal advice we recommend specialist governance counsel, and we work alongside legal advisors when an engagement requires it.
Will the board need to approve everything?
All material updates to charters, constitutions, and policies are taken to the board for approval through the normal cadence. We draft, recommend, and present — your board retains decision-making authority throughout.
How long does a full review take?
Six to ten weeks for a typical board, depending on the size of the organisation and the depth of existing documentation. We'll confirm a timeline in writing once we've completed the initial document audit.
How do you handle confidentiality?
Discretion is non-negotiable. Every engagement begins with a signed confidentiality agreement, and we follow strict information handling protocols suited to high-accountability environments — including defence and regulated sectors.
